1. Acceptance of Terms
By accessing the Ampra Grid website, purchasing our hardware products, or subscribing to our services, you agree to be bound by these Terms and Conditions. If you do not agree, please do not use our products or services.
2. Products and Services
Ampra Grid Inc. ("Ampra Grid," "we," "us," or "our") provides:
- Hardware: Industrial-grade edge controllers, including the Ampra Joule™, and related components
- Software and Services: Energy optimization platforms including Ampra OptimaEngine™, Ampra Flux360™, and Ampra AutonomyEngine™
- Monitoring and Reporting: Performance monitoring, economic alerts, and reporting services
- Professional Services: Project assessment, commissioning support, and ongoing optimization
3. Orders and Payment
3.1 Quotes and Pricing All prices are quoted in USD unless otherwise stated. Quotes are valid for 30 days from the date of issue. Ampra Grid reserves the right to modify pricing at any time prior to order confirmation.
3.2 Payment Terms Payment terms will be specified in your sales agreement or invoice. Standard terms require a deposit upon order confirmation, with the balance due prior to shipment unless otherwise agreed in writing.
3.3 Taxes You are responsible for all applicable sales taxes, use taxes, duties, and other governmental charges associated with your purchase.
4. Shipping and Delivery
4.1 Estimated lead times and shipping timelines are provided in good faith but are not guaranteed. Ampra Grid is not liable for delays caused by shipping carriers, customs, or circumstances beyond our control.
4.2 Risk of loss and title to hardware products transfer to the buyer upon delivery to the shipping carrier unless otherwise agreed in writing.
4.3 You are responsible for inspecting all shipments upon receipt and reporting any damage or discrepancy within 5 business days of delivery.
5. Installation and Integration
5.1 Hardware installation must be performed by a licensed electrical contractor. Ampra Grid does not assume liability for improper installation or failure to comply with applicable electrical codes and standards.
5.2 System performance depends on proper installation, accurate site data, and compatibility with existing equipment. Ampra Grid makes no guarantee of specific savings outcomes absent accurate information provided during project assessment.
5.3 You are responsible for obtaining all necessary permits, approvals, and interconnection agreements required by your local authority having jurisdiction (AHJ) and utility.
6. Software and Services Subscription
6.1 License Grant Subject to these Terms, Ampra Grid grants you a limited, non-exclusive, non-transferable license to use our software platforms solely for your internal energy management purposes.
6.2 Service Term Hardware purchases include cellular data and monitoring services for the period specified at the time of sale (currently three years for standard Joule™ packages). Continued service beyond the included term is subject to a separate subscription agreement.
6.3 Acceptable Use You agree not to reverse engineer, decompile, resell, or sublicense our software or control algorithms. You may not use our platforms in any manner that violates applicable laws or regulations.
6.4 Service Availability Ampra Grid will use commercially reasonable efforts to maintain platform uptime. We are not liable for service interruptions caused by third-party infrastructure, utility API changes, or force majeure events. Our edge controllers are designed to operate independently of cloud connectivity for this reason.
7. Hardware Warranty
7.1 Limited Warranty Ampra Grid warrants that hardware products will be free from defects in materials and workmanship under normal use for a period of one (1) year from the date of shipment, unless otherwise specified in your sales agreement.
7.2 Warranty Exclusions This warranty does not cover:
- Damage resulting from improper installation or use
- Modifications made without written authorization from Ampra Grid
- Normal wear and tear
- Damage caused by power surges, flooding, fire, or other external causes
- Products with removed or altered serial numbers
7.3 Warranty Remedy In the event of a valid warranty claim, Ampra Grid will, at its sole discretion, repair or replace the defective product. This is your sole and exclusive remedy for warranty claims.
7.4 RMA Process All warranty returns require a Return Merchandise Authorization (RMA) number obtained from Ampra Grid prior to return shipment. Unauthorized returns will not be accepted.
8. Limitation of Liability
8.1 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AMPRA GRID'S TOTAL LIABILITY FOR ANY CLAIM ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SPECIFIC PRODUCT OR SERVICE GIVING RISE TO THE CLAIM IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
8.2 AMPRA GRID SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOSS OF DATA, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
8.3 Performance projections and savings estimates provided during project assessment are based on available data and modeling. Actual results may vary. Ampra Grid is not liable for variance between projected and realized savings.
9. Intellectual Property
All software, algorithms, firmware, trademarks, trade names, and proprietary technology—including Ampra OptimaEngine™, Ampra Joule™, Ampra Flux360™, and Cadence Profiles—remain the exclusive intellectual property of Ampra Grid Inc. Nothing in these Terms transfers any ownership rights to you.
10. Data and Privacy
10.1 In providing services, Ampra Grid may collect and process energy consumption data, interval data, and system performance data from your installation site. This data is used solely to provide and improve our services.
10.2 Ampra Grid will not sell your site-specific data to third parties. Aggregated, anonymized data may be used for product development and industry research.
10.3 You represent that you have all necessary rights and permissions to provide site data to Ampra Grid for the purposes described herein.
11. Indemnification
You agree to indemnify, defend, and hold harmless Ampra Grid and its officers, directors, employees, and agents from any claims, liabilities, damages, or expenses (including reasonable attorneys' fees) arising from your use of our products or services, your violation of these Terms, or your violation of any applicable law or third-party right.
12. Governing Law and Disputes
These Terms are governed by the laws of the State of California, without regard to conflict of law principles. Any dispute arising under these Terms shall be resolved by binding arbitration in San Francisco, California, under the rules of the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction to protect intellectual property rights.
13. Changes to These Terms
Ampra Grid reserves the right to update these Terms at any time. We will notify registered customers of material changes via email or through our platform. Continued use of our products or services after the effective date of any changes constitutes acceptance of the revised Terms.
